1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Relaystone Ltd, a company incorporated in England and Wales (Company Number 13547829), whose registered office is at 4th Floor, 86–90 Paul Street, London, EC2A 4NE ("Relaystone"). By applying for, activating, or using any Relaystone service, you agree to be bound by these Terms.
2. Services
Relaystone provides transactional email infrastructure, SMTP relay, API access, and related services as described on our website and in any applicable Service Schedule. Services are provided on a subscription basis and are subject to successful completion of our compliance and identity verification process.
3. Eligibility and Account Approval
Access to Relaystone services is not automatic. All applications are subject to manual review. Relaystone reserves the right to decline any application at its sole discretion without providing reasons. Clients must be legitimate registered businesses or individual traders with a verifiable commercial purpose consistent with the permitted uses described in our Acceptable Use Policy.
4. Client Obligations
Clients are responsible for ensuring that all use of the Relaystone platform complies with: the Acceptable Use Policy; all applicable laws and regulations, including UK GDPR, PECR, and CAN-SPAM; the rights of message recipients; and these Terms. Clients must maintain accurate account information and must not permit unauthorised access to their credentials.
5. Prohibited Use
Use of Relaystone services for unsolicited bulk email, commercial email to non-opted-in recipients, phishing, fraud, harassment, or any other unlawful purpose is strictly prohibited. Violation of this provision will result in immediate account suspension. Relaystone may report confirmed violations to relevant authorities.
6. Fees and Payment
Fees are payable in advance on a monthly or annual basis as specified in the applicable plan. All fees are exclusive of VAT. Overdue invoices accrue interest at 8% above Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Non-payment may result in service suspension.
7. Suspension and Termination
Relaystone may suspend or terminate access immediately and without notice where: the Client violates the Acceptable Use Policy; the Client presents a risk of harm to Relaystone's infrastructure, reputation, or other clients; or the Client fails to pay amounts due. Relaystone may also terminate services with 30 days' notice for convenience.
8. Limitation of Liability
Relaystone's total liability to any Client in any 12-month period shall not exceed the fees paid by that Client in that period. Relaystone shall not be liable for indirect, consequential, or special damages. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
