In respect of message transmission services, Relaystone acts as a Data Processor on behalf of our clients (who are the Data Controllers in respect of their recipients' personal data). A Data Processing Agreement (DPA) is provided to all clients.

2. Personal Data We Collect

We collect the following categories of personal data:

• Account and identity data: Name, business email address, company name and registration number, contact telephone number, and billing information collected during the account application process.
• KYC verification data: Government-issued identity documentation and business registration certificates collected as part of our mandatory compliance review process.
• Usage and technical data: API access logs, IP addresses, sending patterns, delivery metrics, and authentication events generated during use of our services.
• Website data: Technical data collected via cookies and server logs relating to website visits, including IP address, browser type, and pages visited.

3. Legal Basis for Processing

We process personal data on the following legal bases under UK GDPR:

• Contract performance (Article 6(1)(b)): Processing necessary to fulfil our contractual obligations to clients, including account management and service delivery.
• Legal obligation (Article 6(1)(c)): Processing required to comply with applicable law, including KYC and anti-money laundering obligations.
• Legitimate interests (Article 6(1)(f)): Processing for fraud prevention, network security, abuse monitoring, and platform integrity.

4. Data Retention

Account and identity data is retained for the duration of the client relationship and for a period of seven years thereafter, in accordance with UK financial record-keeping obligations. Message transmission metadata is retained for the period specified in the applicable service tier. KYC documentation is retained for five years following account closure.

5. Your Rights

Under UK GDPR, you have the right to access your personal data, request correction of inaccurate data, request erasure where legally permissible, restrict processing, and data portability. 6. International Transfers

Personal data is processed and stored in the United Kingdom. Where data is transferred outside the UK, we implement appropriate safeguards in accordance with UK GDPR Chapter V.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Relaystone Ltd, a company incorporated in England and Wales (Company Number 13547829), whose registered office is at 4th Floor, 86–90 Paul Street, London, EC2A 4NE ("Relaystone"). By applying for, activating, or using any Relaystone service, you agree to be bound by these Terms.

2. Services

Relaystone provides transactional email infrastructure, SMTP relay, API access, and related services as described on our website and in any applicable Service Schedule. Services are provided on a subscription basis and are subject to successful completion of our compliance and identity verification process.

3. Eligibility and Account Approval

Access to Relaystone services is not automatic. All applications are subject to manual review. Relaystone reserves the right to decline any application at its sole discretion without providing reasons. Clients must be legitimate registered businesses or individual traders with a verifiable commercial purpose consistent with the permitted uses described in our Acceptable Use Policy.

4. Client Obligations

Clients are responsible for ensuring that all use of the Relaystone platform complies with: the Acceptable Use Policy; all applicable laws and regulations, including UK GDPR, PECR, and CAN-SPAM; the rights of message recipients; and these Terms. Clients must maintain accurate account information and must not permit unauthorised access to their credentials.

5. Prohibited Use

Use of Relaystone services for unsolicited bulk email, commercial email to non-opted-in recipients, phishing, fraud, harassment, or any other unlawful purpose is strictly prohibited. Violation of this provision will result in immediate account suspension. Relaystone may report confirmed violations to relevant authorities.

6. Fees and Payment

Fees are payable in advance on a monthly or annual basis as specified in the applicable plan. All fees are exclusive of VAT. Overdue invoices accrue interest at 8% above Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Non-payment may result in service suspension.

7. Suspension and Termination

Relaystone may suspend or terminate access immediately and without notice where: the Client violates the Acceptable Use Policy; the Client presents a risk of harm to Relaystone's infrastructure, reputation, or other clients; or the Client fails to pay amounts due. Relaystone may also terminate services with 30 days' notice for convenience.

8. Limitation of Liability

Relaystone's total liability to any Client in any 12-month period shall not exceed the fees paid by that Client in that period. Relaystone shall not be liable for indirect, consequential, or special damages. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.

1. Purpose and Scope

This Acceptable Use Policy ("AUP") governs all use of Relaystone Ltd's communication infrastructure services. It applies to all clients, users, and any third parties who access Relaystone services directly or indirectly. The policy exists to protect the integrity of our infrastructure, the rights of message recipients, and the interests of legitimate users.

2. Permitted Use

Relaystone services may only be used to send transactional communications to recipients who have an existing direct relationship with the sender and have provided their contact information in that context. Permitted message types include:

• Account verification and authentication notifications
• Transaction confirmations and receipts
• Password reset and account security alerts
• System notifications required for service delivery
• Invoice and billing notifications to existing clients
• Regulatory and compliance communications where legally required

3. Strictly Prohibited Activities

The following are absolutely prohibited without exception:

• Unsolicited bulk email (spam) — sending email to any recipient who has not explicitly opted in to receive communication from the sender
• Marketing or promotional email — regardless of whether recipients have consented to receive transactional email, commercial promotional content requires separate lawful basis
• Cold outreach — sending email to prospects, leads, or purchased lists for sales or business development purposes
• Third-party list usage — use of email lists purchased, rented, or obtained from any third party source
• Phishing and fraud — any communication designed to deceive recipients or obtain unauthorised access to systems or information
• Identity spoofing — misrepresenting the sender identity or sending from domains not legitimately owned by the client
• Malware distribution — inclusion of malicious code, attachments, or links in messages
• Harassment — sending messages to recipients who have requested no further communication
• Illegal content — any content that violates applicable law

4. Opt-In Requirement

All sending must be to recipients who have provided explicit, documented consent or who have a clear existing direct relationship with the sender. Relaystone may request evidence of consent at any time. Inability to provide such evidence may result in account suspension.

5. Suppression and Unsubscribe Compliance

Clients must process unsubscribe requests promptly and within the timescales required by applicable law. Relaystone's platform automatically adds addresses generating complaints to the suppression list. Clients must not attempt to circumvent suppression management systems.

6. Monitoring and Enforcement

Relaystone monitors sending patterns, complaint rates, and content continuously. Accounts exhibiting complaint rates above 0.1%, bounce rates above 2%, or patterns consistent with spam activity are automatically flagged for review. Confirmed violations result in immediate suspension.

7. Consequences of Violation

Violations of this AUP will result in: immediate account suspension; potential forfeiture of any prepaid fees; potential legal action for damages caused to Relaystone or third parties; and referral to relevant authorities where criminal activity is suspected.
